ProcedureEdit

  1. Persons seeking restoration should complete an application form. A link is provided under "Documents to Use" section which you can use to download the form.
  2. You must submit the completed form to the Registrar within 6 months of the re-registration deadline.
    For overseas companies who have failed to file an annual return for more than 6 months, and who have been removed from the register, will be restored on the register after its directors or a shareholder of that company applied for restoration.
  3. If the application is in order and establishes a valid ground for restoration, then the Registrar will restore the company to the register. A notice to this effect will be published on the Company Haus Website and the applicant(s) will be notified of the outcome by mail.

EligibilityEdit

Reasons for restoration must be one of the following:

  • the company is still carrying on business or this is another reason for it to continue in existence;
  • The company is a party to legal proceedings;
  • The company is in receivership or liquidation or both;
  • You (the applicant) are a creditor or a shareholder or you have an undischarged claim against the company
  • You (the applicant) believe that there exists, and you intend to pursue a right of action on behalf of the company under Part 6 of the Companies Act 2009.
  • You do not believe it would be just or equitable to remove the company from the Solomon Islands Register.


Only certain parties may apply to have a company restored.
Your role at the time of removal of the company:

  • A shareholder or director of the company
  • A creditor of the company
  • A party to any legal proceedings against the company
  • Had an undischarged claim against the company
  • Were the liquidator or a receiver of the property of the company
  • Have leave of the Court to request restoration
